These Terms & Conditions ("Terms") govern your access to and use of the USAutoExport platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, browsing, registering on, or purchasing from USAutoExport (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and USAutoExport ("Company," "we," "us," or "our").

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding contracts;
  • Provide accurate, current, and complete information during registration;
  • Not be barred from using the Service under the laws of the United States or any applicable jurisdiction.

3. User Accounts

3.1 Account Registration

You must register an account to access certain features such as placing orders, requesting quotes, and tracking shipments. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

You agree to:

  • Provide accurate and current information;
  • Maintain the security of your password;
  • Notify us immediately of any unauthorized use;
  • Accept responsibility for all activities conducted under your account.

3.3 Account Suspension

We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to other users or the Company.

4. Orders & Reservations

4.1 Order Placement

Placing an order on the Platform constitutes an offer to purchase. All orders are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including inventory unavailability, pricing errors, or suspected fraud.

4.2 Vehicle Reservations

When you reserve a vehicle, it is held for a period of 48 hours pending payment. If payment is not received within this window, the reservation expires automatically, and the vehicle is released back to available inventory.

4.3 Part Orders

Spare parts are subject to stock availability. Where a part is out of stock, we will notify you of the estimated lead time or offer alternative solutions.

4.4 Order Confirmation

An order is confirmed only when:

  • The order has been accepted by us;
  • Full payment has been received and verified;
  • A proforma invoice has been issued.

5. Pricing & Currency

5.1 Base Currency

All prices are listed in US Dollars (USD). Where other currencies are displayed, they are for informational purposes only and are based on prevailing exchange rates. The final transaction amount is charged in USD unless otherwise agreed in writing.

5.2 Price Components

Displayed prices represent:

  • FOB (Free On Board) — the vehicle or part price at the port of origin, excluding international shipping and insurance.
  • CIF (Cost, Insurance, Freight) — the FOB price plus international shipping and marine insurance to your designated port.
  • Landed Estimate — the CIF price plus estimated destination taxes, port charges, and clearing fees. These are estimates only; actual charges are determined by destination authorities.

5.3 Price Changes

Prices are subject to change without prior notice. Once an order is confirmed and payment received, the agreed price is locked.

6. Payment Terms

6.1 Accepted Payment Methods

We accept the following:

  • Bank wire transfers;
  • Credit and debit cards (Visa, Mastercard, American Express);
  • PayPal;
  • Regional gateways (M-Pesa, Flutterwave, Paystack, and others);
  • Cryptocurrency (where available).

6.2 Payment Verification

All bank transfers require proof of payment upload. Payments are only considered received once verified by our finance team, which typically takes 24–48 business hours. Uploading a payment receipt does not automatically mark an order as paid.

6.3 Currency Conversion

Where you pay in a currency other than USD, the conversion rate is fixed at the time of invoice issuance and is not subject to later adjustment.

6.4 Late Payment

Orders unpaid after the reservation period expires may be canceled. Repeated non-payment may result in account suspension.

7. Shipping & Delivery

7.1 Shipping Methods

We offer the following:

  • RORO (Roll-on/Roll-off) — for vehicles that can be driven; most economical.
  • Container — for vehicles, parts, and non-running units; higher protection.
  • Air/Courier — for spare parts; fastest but most expensive.

7.2 Transit Times

Transit times are estimates only. Actual delivery depends on vessel schedules, port congestion, and customs processing. We do not guarantee specific arrival dates.

7.3 Ports

Delivery is to the destination port specified in your order. Port charges, customs duties, and clearing fees are the customer's responsibility.

7.4 Shipping Documents

We provide the following documents upon shipping:

  • Commercial invoice;
  • Packing list;
  • Bill of Lading (B/L);
  • Export certificate;
  • Marine insurance certificate (if applicable).

8. Risk & Title Transfer

8.1 Risk of Loss

Risk of loss or damage passes to you:

  • For FOB terms: when the vehicle is loaded onto the vessel at the origin port.
  • For CIF terms: when the vehicle arrives at the destination port.

8.2 Title

Title to the vehicle transfers to you upon receipt of full payment. We retain a security interest in the vehicle until payment is complete.

8.3 Insurance

Marine insurance is included in CIF shipments. Comprehensive coverage limits are stated in the insurance certificate. We strongly recommend additional coverage for high-value shipments.

9. Vehicle Condition & Inspection

9.1 As-Is Sale

All used vehicles are sold "as-is, where-is" unless otherwise specified in writing. We provide descriptions, photographs, and inspection reports to the best of our ability, but we do not guarantee that any vehicle is free from defects.

9.2 Inspection Reports

Where inspection reports are provided, they reflect the condition of the vehicle at the time of inspection. Normal wear and tear, minor cosmetic imperfections, and mechanical issues common to used vehicles are to be expected.

9.3 Discrepancy Claims

If you believe a vehicle materially differs from its description, you must notify us within 7 days of arrival at the destination port. Claims must include photographs and third-party inspection reports.

10. Returns & Refunds

10.1 No Return Policy

Due to the international nature of our business, we do not accept returns once a vehicle has shipped. All sales are final.

10.2 Refund Eligibility

Refunds may be issued in the following circumstances:

  • The order is canceled before shipping and before any export documentation is issued;
  • We are unable to fulfill the order;
  • A material misrepresentation is proven (subject to investigation).

10.3 Refund Method

Refunds are processed within 14 business days to the original payment method, minus transaction fees and any non-recoverable costs (e.g., inspection fees, bank charges).

11. Cancellation

11.1 Customer Cancellation

Orders may be canceled before shipment, subject to the following:

  • Full refund if canceled before we incur export costs;
  • Partial refund (minus incurred costs) if canceled after booking but before shipping;
  • No refund after shipping documents are issued.

11.2 Cancellation by Us

We reserve the right to cancel any order for reasons including inventory unavailability, suspected fraud, or legal restrictions. In such cases, a full refund will be issued.

12. Warranty Disclaimer

THE PLATFORM AND ALL PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY OF DESCRIPTIONS OR PHOTOGRAPHS.

Spare parts may carry a manufacturer's warranty where explicitly stated. This warranty is provided by the manufacturer, not by us.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total aggregate liability shall not exceed the amount you paid for the specific product giving rise to the claim;
  • We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data;
  • We shall not be liable for delays caused by carriers, customs, or events beyond our reasonable control.

14. Indemnification

You agree to indemnify, defend, and hold harmless USAutoExport, its officers, employees, agents, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Platform;
  • Your breach of these Terms;
  • Your violation of any third-party rights;
  • Your violation of applicable laws or regulations.

15. Export Compliance

15.1 Legal Compliance

You agree to comply with all applicable export and import control laws, including those of the United States (e.g., ITAR, EAR, OFAC sanctions) and your destination country.

15.2 Prohibited Destinations

We do not sell to embargoed countries or entities listed on sanctioned-party lists. We reserve the right to refuse any order based on export compliance requirements.

15.3 Destination Restrictions

Certain vehicles or parts may not be legally importable into your country (e.g., due to emission standards, age restrictions, or right-hand drive rules). It is your responsibility to verify destination country requirements before purchase.

16. Intellectual Property

All content on the Platform, including logos, text, images, software, and data, is owned by USAutoExport or its licensors and protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute Platform content without written permission;
  • Use our trademarks without authorization;
  • Scrape, data-mine, or use automated tools to extract Platform content.

17. Prohibited Conduct

You agree not to:

  • Violate any laws or regulations;
  • Infringe on intellectual property rights;
  • Engage in fraudulent or deceptive practices;
  • Submit false or misleading information;
  • Interfere with the Platform's operation;
  • Attempt to gain unauthorized access to our systems;
  • Harass, threaten, or abuse other users or our staff.

18. Termination

We may terminate or suspend your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms.

Upon termination:

  • Your right to use the Platform ceases immediately;
  • Outstanding orders will be handled according to our policies;
  • Provisions that by their nature should survive (e.g., liability limits, indemnification) remain in effect.

19. Governing Law & Disputes

19.1 Governing Law

These Terms are governed by the laws of the State of [Your State], United States of America, without regard to its conflict of law provisions.

19.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall be resolved through:

  1. Good-faith negotiation between the parties for a period of 30 days;

19.3 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class actions.

We reserve the right to modify these Terms at any time. Material changes will be notified by email or via a prominent notice on the Platform. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
